Terms of Use

1. Introduction

1.1 AGREEMENT. Welcome to www.sechistorical.org (the "Site"). Your access to and use of the Site is subject to the following terms and conditions and all applicable laws. By accessing and using the Site, you agree to these Terms of Use. If you do not agree to these Terms of Use, please exit the Site immediately.

1.2 PURPOSE. The Site is designed to provide information about the history of finacial regulation. The information and services offered on this Site are provided solely for general information, and do not constitute any type of legal or professional advice. Your use of the Site is conditioned on the understanding that the SEC Historical Society is not engaged in rendering legal or other professional services advice.

1.3 MODIFICATION. The SEC Historical Society shall have the right to amend or modify the Terms of Use or impose new conditions at any time with or without notice. Any such changes or additions will be reflected by an update of this posting. Please check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes to these Terms of Use will constitute your acceptance of any such changes.

2. Use of Site

2.1 COPYRIGHT. All documentation, electronic text and image files, audio and video clips, and other materials contained on the Site are protected by copyright laws and may also be covered by other restrictions. Certain materials contained on the Site are the property of the SEC Historical Society, while other materials are the property of third parties (the "Licensors"), which materials have been licensed to the SEC Historical Society. The SEC Historical Society and the Licensors retain all rights, including copyright, in data, image, text, and any other information in the Site and the files related thereto.

2.2 APPROVED USE. Unauthorized commercial publication or use of materials contained in the Site is specifically prohibited. Anyone wishing to use any of these materials for commercial use, publication, or any purpose other than fair use as defined by law, must request and receive prior written permission from the SEC Historical Society. Permission for such use is granted on a case by case basis at the sole discretion of the SEC Historical Society and the Licensors. A usage fee may be involved depending on the type and nature of the proposed use.

3. Modification of Site or Content

3.1 RIGHT TO MODIFY. The SEC Historical Society continuously updates and changes the Site’s content, and reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, any aspect or feature of the Site with or without notice. Though your use of the Site, you agree that the SEC Historical Society shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site or its content.

4. Linking Policy

4.1 NO LIABILITY FOR LINKED CONTENT. The Site includes links to other online sites which are operated by third parties with no affiliation with the SEC Historical Society. These links are provided as a convenience to you and as an additional avenue of access to the information contained therein. WE HAVE NOT REVIEWED THE INFORMATION ON OTHER SITES AND ARE NOT RESPONSIBLE FOR THE CONTENT OF ANY OTHER SITES OR ANY PRODUCTS OR SERVICES THAT MAY BE OFFERED THROUGH OTHER SITES. Inclusion of links to other sites should not be viewed as an endorsement of the content of linked sites. Different terms and conditions may apply to your use of any linked sites and it is your responsibility to comply with such other terms and conditions. By clicking on any such link, you acknowledge that the SEC Historical Society has no control over, and makes no representations of any kind with respect to, such other sites or any content contained within such other sites, and you hereby revoke any claim against the SEC Historical Society with respect to such other sites. Any concerns regarding any external link should be directed to that Site’s site administrator or Webmaster. You may also advise the SEC Historical Society of any non or malfunctioning site.

5. Indemnity

5.1 INDEMNITY. You agree to indemnify and hold harmless the SEC Historical Society and its affiliates and their respective officers, agents, partners, directors and employees, from and against any third party claim or demand (including reasonable attorneys' fees), arising out of or relating to information, data, text, software, music, sound, photographs, images, graphics, video, messages and any other content you post, e-mail or transmit through the Site, or your violation of the Terms of Use. You shall cooperate as fully as reasonably required in the defense of any such claim or demand.

6. Remedies

6.1 REMEDIES. Upon your breach of any of these Terms of Use, in addition to any remedies set forth in any license agreement, the SEC Historical Society’s remedies shall include any monetary benefits that accrued to you or the authorized users as a result of the breach, any damages incurred by the SEC Historical Society related to such breach, and any other damages and relief available at law or in equity.

7. User Content Submitted to SEC HISTORICAL SOCIETY

7.1 LICENSE GRANT. Unless otherwise stated in a written agreement between you and the SEC Historical Society, with respect to all such content you elect to submit to the SEC Historical Society ("User Content"), you grant the SEC Historical Society, its affiliates, and licensees a royalty-free, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, adapt, reformat, perform, display, transmit, publish, translate, prepare derivative works of, distribute, sell, and take any other action (including destroying User Content) with respect to User Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed. You further acknowledge and agree that the SEC Historical Society may preserve any User Content and may also disclose User Content in its sole discretion.

7.2 REPRESENTATIONS AND WARRANTIES WITH RESPECT TO CONTENT SUBMITTED. You represent and warrant that: (a) you own or have the full right, power and authority to grant to the SEC Historical Society use of and rights in and to all User Content, whether owned by or licensed to you by a third party; (b) your license of User Content to the SEC Historical Society hereunder does not, and the license of User Content the SEC Historical Society to third parties will not, infringe any right or interest owned or possessed by any third party; and (c) there are no claims, judgments or settlements to be paid by you, or pending claims or litigation, relating to User Content.

7.3 RIGHTS IN CONTENT SUBMITTED. The Site may allow you to submit materials, information or other content, designed, or authored by you, for possible inclusion on the Site, including for download and use by others. The SEC Historical Society shall not be responsible for any content that you e-mail or otherwise transmit to or via the Site. You agree that you will not knowingly submit content that infringes any proprietary rights of others, or that violates any of these Terms of Use, including the "Use of Site" provisions herein. The SEC Historical Society is under no obligation to post or to use any such content you may provide and may remove any such content at any time in the SEC Historical Society’s sole discretion. You further agree that you will not knowingly use or incorporate in any content you submit to the SEC Historical Society any proprietary material owned by a third party without that party’s authorization.

8. Limitation of Liability

8.1 TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, YOU UNDERSTAND AND AGREE THAT: (A) THE SEC HISTORICAL SOCIETY AND ITS RESPECTIVE, MEMBERS, OFFICERS, AGENTS, PARTNERS, DIRECTORS AND EMPLOYEES; AND (B) ANY THIRD PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE OR CONTENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR ANY OTHER DAMAGES RELATING TO OR RESULTING FROM YOUR USE OR INABILITY TO USE THE SITE OR CONTENT, OR ANY OTHER SITE, CONTENT OR SERVICES YOU ACCESS THROUGH A LINK FROM THE SITE, OR FROM ANY ACTIONS WE TAKE OR FAIL TO TAKE AS A RESULT OF ELECTRONIC OR OTHER MESSAGES YOU SEND US. THESE INCLUDE, BUT ARE NOT LIMITED TO, DAMAGES FOR ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAYS, COMPUTER VIRUSES, YOUR LOSS OF PROFITS, LOSS OF DATA, UNAUTHORIZED ACCESS TO AND ALTERATION OF YOUR TRANSMISSIONS AND DATA, AND OTHER TANGIBLE AND INTANGIBLE LOSSES.

9. Your Liability

IF YOU CAUSE A TECHNICAL DISRUPTION OF THE SITE OR CONTENT OR THE SYSTEMS TRANSMITTING THEM TO YOU OR OTHERS, YOU AGREE TO BE RESPONSIBLE FOR ANY AND ALL LIABILITIES, COSTS AND EXPENSES (INCLUDING ATTORNEYS’ FEES) ARISING FROM THAT DISRUPTION.

10. Choice of Forum, Choice of Law, and Jurisdiction

These Terms of Use and your use of the Site and the content thereon shall be governed by the laws of the District of Columbia of the United States without regard to its choice of laws principles. You irrevocably consent to the jurisdiction of the federal and state courts located in the District of Columbia for any action to enforce these terms and conditions. If any material contained in, displayed or used by the Site or your use of the Site or the Site’s content, is contrary to the laws of the jurisdiction where you are when you access it, the Site and Content are not intended for your use, and you are not authorized to use them. You are responsible for informing yourself of, and complying with, the laws of your jurisdiction.

The SEC Historical Society recognizes that visitors to our site may be concerned about the information they provide to us, and how we treat that information. Our Site Privacy Policy addresses those concerns.

Permission for Use

The virtual museum and archive is copyrighted by the SEC Historical Society. The Society reserves the right to restrict access to or use of the museum by any user at any time.

Users are prohibited from sharing or downloading any material for publication or commercial purposes without written permission from the Executive Director. Requests for permission must be submitted by email and specify the material requested and for what purpose.
